To be an authorized affiliate of CHIRO-CORE SYSTEMS, you agree to abide by the terms and conditions contained in this agreement.

Please read this agreement carefully before registering and using the CHIRO-CORE SYSTEMS service as an affiliate. By signing up for the CHIRO-CORE affiliate program, you indicate your acceptance of this agreement and its terms and conditions.

THE AGREEMENT: This Affiliate Agreement (hereinafter called the “Agreement”) is provided by Dr. K Chiro-Core, Inc. (hereinafter referred to as “Company”) and (you), an individual (hereinafter referred to as the “Affiliate”).  This Agreement is a legal document between you and the Company and describes the affiliate relationship we are entering. Please ensure you read and understand the entirety of this Agreement and seek legal advice if you so desire.

1)	AFFILIATE PROGRAM ENTRY & ACCEPTANCE
By submitting this signed agreement, you are indicating your acceptance of this Agreement and your intent to become an Affiliate and be bound by the terms of this Agreement. A signature by an authorized representative of the Company indicates the Company’s acceptance of you into the Affiliate Program and the Agreement will commence as of the signature date. The Company reserves the right to reject any individual into the Affiliate Program and will return the Affiliate fee promptly should that occur.

2)	AFFILIATE PROGRAM PURPOSE & DESCRIPTION
The Company is engaged in the business of designing, producing, selling, and delivering custom mattresses and pillows, known as Dr. K Chiro-Core Sleep Systems. These products are designed and produced specifically to meet the needs of individuals who will benefit from an improvement in their mattress and pillows. The products are manufactured in the USA by a third party under contract with the Company.
The Company owns and operates one or more websites that are accessible to the Affiliate and anyone else directed to the website(s).  The Company is establishing this affiliate relationship with you, the Affiliate, for the purpose of promoting the Company’s website(s) as the Affiliate sees fit to direct their patients, patient families and/or the public to the Company’s website.
The Affiliate will receive compensation from Qualified Purchases (as defined in this Agreement) of mattresses and power bases made by individuals (or other entity) that have been referred to the Company’s website by the Affiliate. The Affiliate will have a unique destination website that will enable the Company to track referrals made by the Affiliate. The Affiliate shall receive compensation amounting to 15% of the selling price for each mattress sold and $250 commission for every power base sold. The company reserves the right to market other products beyond mattresses and power bases that are not covered by this Agreement.

3)	PAYMENT INFORMATION
Payments shall be made on the 1st of each month following a maximum 45-day processing period commencing on the date of sale. The Company shall pay the Affiliate a commission on every completed and paid order which results from a referral that originated from the Affiliate. Payments will be made electronically via direct deposit, Venmo or PayPal as requested by the Affiliate.

Adjustments can and will be made for any returns or allowances that occur between the Company and the customer. If a dispute arises before payment of the commission the Company will place a hold on that commission until such time the dispute is resolved. In any case, the Affiliate will be notified of such a situation.

The Company will provide a Statement of Account with each payment detailing the computations of the commission and any adjustments. The Company shall permit the affiliate reasonable access to the records and data used to determine the commission for purposes of inspection. Any discrepancies between the Company’s records and a commission paid to the Affiliate shall be corrected by the Company within 15 days of receiving written notification of that discrepancy from the affiliate.

After acceptance in the Affiliate Program, you must ensure your account is set up thoroughly, including specific payout information and location (such as a bank or online account which we may use to post payment). The Affiliate will be asked to submit a W9 tax form and 1099s will be issued annually in compliance with IRS rules.

4)	QUALIFIED PURCHASES
In order to be eligible for payout, user purchases must be “Qualified Purchases.” Qualified Purchases:
a)	Must not be referred by any other partner or affiliate links of the Company.
b)	May not be purchased by an already existing partner or affiliate of the company.
c)	May only be purchased through a properly tracking Affiliate link / QR Code.
d)	May not be purchased by a customer in violation of any of our legal terms or Acceptable Use Policy.
e)	May not be fraudulent in any way, in the Company’s sole and exclusive discretion. 
f)	May not have been induced by the Affiliate offering the customer any coupons or discounts, except as agreed upon between Company and Affiliate.

5)	RESPONSIBILITIES OF THE AFFILIATE
a)	Display the Company website in a manner that does not reflect adversely on the Company or mislead potential customers. Additionally, you will refrain from making misleading and/or incorrect assertions about any of the Company’s products nor will you make any additional promises or warranties beyond what is given on the Company’s website(s).
b)	Use reasonable efforts to promote and refer potential customers to the Company’s website when opportunity arises.
c)	You agree that the intellectual property owned by the Company includes all copyrights, trademarks, trade secrets, patents, and other intellectual property owned by the Company. Subject to the limitations listed below, we hereby grant you a non-exclusive, non-transferable, revocable license to access our website(s) in conjunction with the Affiliate Program and use the Company IP solely and exclusively in conjunction with identifying our company and brand to send customers to the links provided. You may not modify the Company IP in any way and you are only permitted to use the Company IP if you are an Affiliate in good standing with us.
d)	The Affiliate is prohibited from bidding on Company trademark terms on all search engines, as this use constitutes a trademark infringement of the Company’s trademarks.  The Affiliate may not use Dr. K Chiro-Core or any variation of Dr. K Chiro-Core in printed advertising without the permission of the Company.
e)	You hereby provide us a non-exclusive license to use your name, trademarks or servicemarks if applicable, to advertise our Affiliate Program.

6)	RESPONSIBILITIES OF AND RIGHTS RESERVED BY THE COMPANY
a)	The Company shall make timely payments and be diligent to keep up-to-date and accurate records as indicated in Section 3.
b)	The Company shall keep all related websites applicable to the Agreement up to date and reasonably free from error. If presented with an error or omission on any of the Company’s relevant websites, the Company will make every effort to make necessary corrections in a timely manner.
c)	The Company will provide you with a link and/or a QR Code that will be unique to you and will enable the Company to track all your referrals and sales. Each time a user clicks through the link provided and/or connected to the QR Code provided and completes a sale that we determine is a Qualified Purchase, your account will be credited the applicable commission. 
d)	We reserve the right to reject any order that does not comply with the terms of this Agreement or for any other reason such as suspected fraud, lack of credit worthiness, bad faith history with a customer, etc.

7)	NON-EXCLUSIVITY 
This Agreement does not create an exclusive relationship between you and us. You are free to work with similar affiliate program providers in any category other than the sale of mattresses. This Agreement imposes no restrictions on us to work with any individual or company we may choose.

8)	TERM, TERMINATION & SUSPENSION 
The term of this agreement will begin when we accept you into the Affiliate Program as indicated by the signature of an authorized Company representative. It can be terminated by either party at any time with or without cause. 
You may only earn payouts as long as you are an Affiliate in good standing during the term. If you terminate this Agreement with us, you will qualify to receive payouts earned prior to the date of termination. 
If you fail to follow the terms of this Agreement, you forfeit all rights including the right to any unclaimed payout.

9)	RELATIONSHIP OF THE PARTIES 
Nothing contained within this Agreement shall be construed to form any partnership, joint venture, agency, franchise, or employment relationship. You are an independent contractor of the Company and will always remain so.

10)	GENERAL PROVISIONS 
ARBITRATION: In case of a dispute between the parties relating to or arising out of this Agreement, the parties shall first attempt to resolve the dispute personally and in good faith. If these personal resolution attempts fail, the Parties shall then submit the dispute to binding arbitration. The arbitration shall be conducted by a single arbitrator, and such arbitrator shall have no authority to add parties, vary the provisions of this Agreement, award punitive damages, or certify a class. The arbitrator shall be bound by applicable and governing Federal law as well as the law of California. Each party shall pay their own costs and fees.

ASSIGNMENT: This Agreement, or the rights granted hereunder, may not be assigned, sold, leased or otherwise transferred in whole or part by you. Should this Agreement, or the rights granted hereunder be assigned, sold, leased or otherwise transferred by the Company, the rights and obligations of the Company will bind and inure to any assignees or successors.

SEVERABILITY: If any part or subpart of the Agreement is held invalid or unenforceable by a court of law or competent arbitrator, the remaining parts and subparts will be enforced to the maximum extent possible. In such condition, the remainder of this Agreement shall continue in full force.

FORCE MAJEURE: The Company is not liable for any failure to perform due to causes beyond its reasonable control including, but not limited to, acts of God, acts of civil authorities, riots, embargoes, acts of nature and natural disasters, and other acts due to unforeseen circumstances.

Commission Structure

Mattress:
15% of the gross sale for all mattresses

Example: King mattress sells for $3,995, 15% of the gross sale equates to $599
		 Split King sells for $4,940, 15% of the gross sale equates to $741

Base:
Flat $250 for all bases

Opportunity:	King mattress with power base equates to $849
			Split King mattress with power base equates to $991
	
Incentive:
Your first 3 months as an affiliate we will add an additional 5% of the gross sale for all mattresses

Example: King sells for $3,995, 20% of the gross sale with base equates to $1,049
		 Split King sells for $4,940, 20% of the gross sale with base equates to $1,238

Sell 2 mattresses a month and maintain the additional 5% of the gross sale for all mattresses

All commissions are subject to change with a 30 day written notice
